Former EMS head resigns from EARTH (Canada) committee, will not be nominated for re-electon as director
MONTREAL, QUE-EARTH (Canada)'s board of directors recently accepted the resignation of Frank D'Addario from the company's audit committee, effective from January 26, 2005. D'Addario, former chairman and CEO of Environmental Management Solutions (EMS), will remain on EARTH (Canada)'s board of directors, although the board has decided not to nominate him for re-election at the company's 2005 annual meeting of shareholders, to be held later this year. The decision was based on a recommendation from EARTH (Canada)'s human resources and corporate governance committee, and follows a request to that effect from the Ontario Securities Commission (OSC) in connection with EARTH (Canada)'s application to become a reporting issuer in Ontario. The OSC continues to investigate allegations concerning D'Addario's conduct while he was head of EMS, and is not releasing any information about the status of its investigation.
